Service Agreement Guide: Responsibilities, Policies and More

Overview

This guide provides general information on how we will work together on optimizing your web content for GenAI. While our website provides an introduction to our GenAI optimization services, this guide tries to answer FAQs that were not addressed elsewhere. Keep in mind that this information is provided as a guideline. Your rights and obligations are clearly specified in the service agreement you signed, so please refer to it for details. In all cases, your agreement will supersede this guide. Enterprise clients should refer to their service agreement rather than this guide. That being said, here is some pre-sales information to help you make informed decisions regarding our services and how we conduct business.

FAQs

Mutual Responsibilities

We take our responsibilities seriously and aim to provide GenAI optimization services in a timely and professional manner. In order to do that, we need our clients' cooperation in making their websites accessible, providing timely feedback on questions we might have, whether technical or content-related.

The GenAI optimized content that we deliver (monthly or quarterly, depending on the plan selected) will need to be hosted on your website. We will work with your technical website team to implement this properly. Once your website has been initially configured for AIRank PRO, updates can be performed in a matter of minutes.

We anticipate that you will have questions about your optimization, and to help us address them, we have various support channels available depending on the service tier you have selected. Details can be found on the pricing and support pages. When requesting support or asking questions, we may need to reach out to your technical team for details about your website/hosting.

Please keep in mind that the optimization process is best performed collaboratively, and we welcome the opportunity to partner with each and every client to get the best results possible.

Payment

In pricing our services, we have assumed prompt payment. Specifically, we expect payment within 30 days of invoicing. For monthly subscriptions, credit card payment on a recurring basis is available.

Additional Services and Consulting

During the course of our engagement, you may ask us to provide additional services and/or consulting. We are happy to discuss that and expand our working relationship. Please reach out to our support team and we will follow up promptly.

Respect of Intellectual Property

We respect the intellectual property of others (e.g. software vendors, clients) and ask you to do the same for ours. AIRank PRO has developed proprietary technology, methods and trade secrets and we use all of those assets to optimize your web content for GenAI. Our service agreement specifically prohibits reverse engineering and any attempts to do so.

AIRank PRO uses artificial intelligence technology to create certain content. While we are not providing legal advice, it is our general understanding that content created by artificial intelligence is not copyrightable under U.S. law. We provide this content to you with that understanding and when you use our content, you accept those conditions.

Early Termination Policies

Sometimes, despite everyone' s best efforts, it may become necessary to terminate our agreement before the anticipated end of the contract term. Here are some policies outlining that process.

Notice Period

  • A minimum of 30 days written notice is required to terminate the service agreement.

  • The notice period begins on the date the written notice is received by AIRank PRO.

Termination by AIRank PRO

  • AIRank PRO reserves the right to terminate the service agreement immediately in cases of:

    • Breach of Agreement: Failure to comply with the terms and conditions of the service agreement.

    • Non-Payment: Overdue invoices not settled within 14 days of the due date.

    • Misuse of Services: Reverse engineering, abuse or misuse of AIRank PRO services, as determined by our team.

Termination by Client

  • Clients may terminate the agreement at any time, subject to the requirement of at least 30 days written notice.

  • Early termination of annual agreements may result in partial refunds, calculated based on the unused portion of the service period, minus any applicable termination fees (see below).

Associated Penalties or Fees

Termination Fees and Refunds

  • Early Termination of Annual Agreement: Client is responsible for payment of the following penalty: 50% of the remaining contract value (Starter, PRO, Max plans).

  • Partial Refunds: Clients paying monthly are not entitled to partial refunds. Clients who have opted for an annual payment plan may be entitled to a partial refund. After application of early termination fees (detailed above), any prorated refunds due to client will be paid within 30 days after the effective termination date. If additional payments are due to AIRank PRO after application of termination penalties and fees, payment from client is due within 30 days after the effective termination date. In the event that early termination is caused by client's Misuse of Services or Breach of Agreement (refer to your service agreement), no partial refunds will be issued.

Outstanding Invoices

  • Any outstanding client invoices must be settled in full upon termination.

  • Overdue amounts may incur interest at a rate of 2% per annum, from the due date until the date of payment.

Termination Process

  1. Review Your Agreement: Ensure you understand the terms and conditions of your service agreement with AIRank PRO.

  2. Notify Us in Writing: If you decide to terminate, send a written notice to our support team, including your intention to terminate and the effective date.

  3. Settle Outstanding Balances: Pay any overdue invoices to avoid additional charges.
